Welcome to NXSON LLC (“NXSON”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your use of our website at nxson.com, our Partner Center, and the digital services and software we provide.

By using our services or purchasing any product through NXSON, you agree to be bound by these Terms. If you do not agree, please refrain from using our services.

1. Company Overview

NXSON LLC is a U.S.-based digital solutions provider offering licensed software, cloud-based services, and custom development. We specialize in secure infrastructure, software licensing, and scalable business tools integrated with Microsoft, AWS, and Google Cloud platforms.

Our services are available to clients globally, and we maintain compliance with U.S. and international regulations.

2. Service Categories

We provide the following:

• Microsoft and third-party licensed software
• Secure digital infrastructure and firewall solutions
• Custom software development (web, mobile, hybrid)
• Cloud platform integration (AWS, Google Cloud)
• Ongoing technical support and digital consultation

3. Quotation, Estimates & Invoicing Terms

Quotations

• Valid for 30 calendar days from the date of issue.
• May be extended or re-issued upon request and approval.

Estimates

• Valid for 30 calendar days, particularly for custom development or infrastructure projects.

Invoices

• All invoices must be paid in full within the agreed timeframe based on client classification (see Section 4).
• Late payments may result in service suspension, unless otherwise arranged.

4. Payment Policy & Credit Terms

a. Upfront Payment

A 25% upfront payment is required on all orders unless a written agreement specifies otherwise.

b. Standard Payment Terms by Client Type

Corporate credit is available for eligible businesses following credit evaluation. NXSON reserves the right to decline or modify terms at its sole discretion.

5. Taxes and Fees

Prices are exclusive of applicable taxes unless specified. Clients are responsible for:

• Sales tax, VAT, or GST as applicable
• Any applicable customs/import duties
• Currency conversion or international transaction fees

6. Service Delivery

Delivery timelines are provided in writing during quotation or project onboarding. Delays caused by client-side inaction (e.g., failure to pay, unresponsiveness) may result in extended timelines without penalty to NXSON.

7. License Terms and Usage

All software products sold or provided by NXSON are subject to the respective End User License Agreements (EULA) from the vendor. You agree not to:

• Share, sublicense, or resell without permission
• Reverse-engineer or tamper with licensed software
• Use any license outside its permitted scope or volume

8. Refund Policy

Due to the nature of digital products and license keys, all sales are final once:

• A license has been issued
• A service has commenced (e.g., infrastructure deployment)

Refunds are only granted in cases of:

• Verifiable non-performance
• License failure that cannot be resolved or replaced under warranty

9. Warranty and License Replacement

a. General Warranty

NXSON provides warranty coverage depending on the type of service:

• Custom software may include bug-fix coverage for 30–180 days, based on project terms
• Cloud infrastructure is covered under SLAs, as defined in your agreement

b. Microsoft License Warranty

All Microsoft licenses come with a one-year full warranty. This includes:

• Free license replacement for activation failure, OS migration, or transfer (if permitted)
• Customer requirement adjustments as long as they comply with Microsoft guidelines

Clients must provide license details and error documentation for warranty claims.

10. Data Privacy & Protection

All client data is processed in accordance with our Privacy Policy. NXSON complies with:

• U.S. federal and state privacy regulations (e.g., CCPA)
• International privacy laws (e.g., GDPR, UK GDPR, PIPEDA)

We never sell client data. Data is retained only as long as necessary to fulfill the service or comply with law.

11. Security and Infrastructure

We utilize best-in-class security protocols including:

• End-to-end encryption
• Multi-factor authentication
• Dedicated firewalls and network monitoring
  However, no system is 100% secure. By using our services, you accept standard digital risks.

12. Intellectual Property

All content, software, custom code, designs, and documentation created by NXSON LLC remain our intellectual property unless transferred in writing.

Client access does not imply ownership. You may not copy, distribute, or re-use our content outside permitted use.

13. Legal Compliance

Clients are solely responsible for complying with local, state, and international laws when using our services. NXSON will not be held liable for any misuse, illegal activity, or unlicensed resale involving its products or platforms.

14. Limitation of Liability

NXSON LLC will not be liable for:

• Loss of revenue, profits, or data
• Delays outside our control
• Compatibility issues due to third-party software or hardware
• Indirect or consequential damages

Our total liability will not exceed the total amount paid by the client for the disputed service or product.

15. Termination of Service

NXSON may suspend or terminate any service in cases of:

• Non-payment or payment fraud
• License misuse or policy violations
• Illegal or abusive use of the platform

Outstanding balances are due immediately upon termination.

16. Governing Law

These Terms are governed by the laws of the State of [Insert State, e.g., Delaware or Texas], United States. Any disputes will be resolved through the courts of that state, unless another jurisdiction is mutually agreed upon in writing.

17. Amendments

NXSON reserves the right to update or revise these Terms at any time. Revised terms will be posted on our website with an updated “Last Revised” date. Continued use of our services constitutes acceptance of the updated Terms.
